Terms of Service - Cornerstone Materials Co.

1. Acceptance of Terms

By accessing and using the services of Cornerstone Materials Co. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services or website.

These Terms constitute a legally binding agreement between you and Cornerstone Materials Co. regarding your use of our construction materials, delivery services, and website.

2. Services Provided

Cornerstone Materials Co. provides the following services:

Manufacturing and supply of ready-mix concrete
Aggregate materials (crushed stone, sand, gravel)
Hot-mix asphalt production and delivery
Specialty construction materials
Delivery and logistics services
Technical consultation and support

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Orders and Quotes

Quotes: All quotes provided are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on market conditions, material availability, and delivery requirements.

Orders: Orders are considered accepted once we provide written confirmation. We reserve the right to refuse or cancel orders at our discretion.

Minimum Orders: Minimum order quantities may apply depending on product type and delivery location.

4. Pricing and Payment

Pricing: All prices are quoted in U.S. Dollars (USD) and are subject to applicable taxes, fees, and delivery charges unless otherwise stated.

Payment Terms:

New customers: Payment due upon delivery (COD) or prepayment required
Approved credit accounts: Net 30 days from invoice date
Late payments subject to 1.5% monthly interest charge
We accept cash, check, wire transfer, and major credit cards

Credit Application: Credit terms are subject to approval and may require financial references, trade references, and credit checks.

5. Delivery and Scheduling

Delivery Schedule: Delivery times are estimates and not guaranteed. We will make reasonable efforts to meet scheduled delivery times but are not liable for delays caused by weather, traffic, equipment failure, or other circumstances beyond our control.

Delivery Requirements:

Customer must provide safe and accessible delivery location
Adequate space for truck maneuvering and material placement
Customer responsible for site preparation and safety
Authorized personnel must be present to accept delivery

Delivery Charges: Delivery fees are based on distance, load size, and accessibility. Additional charges may apply for after-hours delivery, standby time, or difficult site conditions.

6. Product Quality and Specifications

We guarantee that all materials meet or exceed industry standards and specifications at the time of delivery. However:

Customer is responsible for verifying material suitability for their specific application
Technical specifications are available upon request
Custom mix designs require written approval before production
Quality testing results available upon request

Concrete Products: Ready-mix concrete has a limited working time. Customer must be prepared to accept and place material immediately upon delivery. We are not responsible for concrete that hardens due to delays at the job site.

7. Returns and Cancellations

Cancellations: Orders may be cancelled up to 24 hours before scheduled delivery without penalty. Cancellations within 24 hours may incur a cancellation fee of up to 50% of the order value.

Returns: Due to the nature of construction materials, returns are generally not accepted. Exceptions may be made on a case-by-case basis for unused bagged products in original packaging.

Defective Materials: Claims for defective materials must be reported within 24 hours of delivery with photographic evidence. We will investigate and provide remedies at our discretion.

8. Liability and Warranties

Limited Warranty: We warrant that materials will conform to specified standards at the time of delivery. This warranty is limited to replacement or refund of defective materials and does not extend to consequential damages.

Limitation of Liability: Our liability is limited to the purchase price of the materials in question. We are not liable for:

Delays in delivery or service interruptions
Property damage or personal injury resulting from material use
Consequential, incidental, or punitive damages
Costs of removal, installation, or labor

9. Safety and Compliance

Customer agrees to:

Comply with all applicable safety regulations and building codes
Provide proper personal protective equipment (PPE) for their workers
Maintain safe working conditions at the delivery site
Follow material handling and application guidelines
Dispose of materials and packaging in accordance with environmental regulations

10. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Cornerstone Materials Co. and protected by copyright and trademark laws. Unauthorized use is prohibited.

11. Indemnification

Customer agrees to indemnify and hold harmless Cornerstone Materials Co., its officers, employees, and agents from any claims, damages, or expenses arising from:

Customer's use of materials or services
Violation of these Terms
Negligence or misconduct by customer or their agents
Failure to comply with applicable laws and regulations

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of the state where our principal office is located, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

13. Force Majeure

We are not liable for failure to perform obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, equipment failure, material shortages, or other acts of God.

14. Modification of Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of modified Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
